Chinese Staff Superannuation Fund Scheme

NOTICE

NOTICE IS HEREBY GIVEN that it is the intention of Jardine, Matheson & Co., Ltd. (hereinafter called "the Firm") to inaugurate a Superannuation Fund Scheme on the following basis:

1.

The Scheme will commence on the 1st May 1937.

2. The Firm will, at the end of every period of 12 months' service of each employee, credit his account with half a month's salary. If there shall be any variation in the monthly salaries of any employee within any period of 12 months, the amount of his monthly salary shall be deemed to be the average monthly salary for the 12 months.

4. No employee shall be paid any sum under this Scheme until or unless he shall have served ten years with the Firm calculated from the commencement of the Scheme. If an employee shall die, or shall leave the service of the Firm, and in either case after 10 years' service with the Firm, but within 10 years of the commencement of this Scheme, such an employee shall receive special and individual consideration.

The Scheme being absolutely voluntary on the part of the Firm, nothing herein contained shall confer, or be deemed to confer, any legal right whatever on any employee, and without perjudice to the generality of this fundamental condition of the Scheme IT IS HEREBY DECLARED that:

The Firm may at any time put an end to this Scheme and direct that the moneys standing to the credit of the employees' accounts be repaid to the Firm or be otherwise dealt with.

In the event of an employee leaving the service of the Firm under such circumstances that payment of any sum to him is not contemplated under this Scheme, the Firm may direct that the money standing to the credit of the account of such employee shall be paid back to the Firm.

(i.e. If an employee were to leave within 10

years, or is dismissed at any time, then his account will be forfeited).

(c) All payments to employees under this Scheme shall

be, and shall be deemed to be, gratuitous payments by the Firm, and shall be subject to the absolute discretion of the Firm.

Scheme shall be subject to the absolute discretion of the Firm.
